Division I candidates (general, building and residential) sit it beside Contract Administration and Project Management; Division II specialty candidates sit it beside their trade paper. It covers contract law, lien law, bookkeeping, payroll, insurance and business administration, and it has nothing to do with building anything.

It is also the paper that experienced tradespeople fail. That is not a knock on anyone. It is a straightforward consequence of testing a skill set that running jobs successfully for twenty years does not develop.

Why do experienced builders fail the Business and Finance exam?

On the trade paper, experience is worth a great deal. You have seen the situations, you know what a correct detail looks like, and you are mostly learning where the code says so.

On this paper, experience is worth much less. Knowing how to keep four crews productive does not teach you the difference between a balance sheet and an income statement. Having been paid on a hundred jobs does not teach you the notice deadlines that preserve your right to be paid on the next one, particularly if your bookkeeper handled it.

The people who fail this exam are almost never the least experienced candidates in the room. It splits the paper into six areas and warns that each share can move by three points either way. Applied to 120 scored questions, that looks like this:

Content area (DBPR outline)

Share

About how many of 120

What sits inside it

D. Accounting alone is worth more than the whole of human resources, trade operations and business setup combined. And estimating, which most builders expect to be a headline topic, is not an area of its own at all: it is scattered through bids, overhead and job costing. The table below is our own read of how hard each topic tends to feel to someone who has spent their career on the tools rather than the ledger.

Area

What it covers

Difficulty for most builders

Lien law

Notices, deadlines, priorities, releases

High, and heavily weighted

Contracts

Formation, terms, breach, change orders

Moderate

Financial statements

Balance sheet, income statement, ratios

High if bookkeeping was never yours

Bookkeeping

Journals, ledgers, job costing

High

Payroll and taxes

Withholding, classification, reporting

Moderate

Insurance and bonding

Coverage types, bonds, risk

Moderate

Estimating

Takeoffs, overhead, markup

Low, this is familiar ground

Business organization

Entity types, licensing structure

Low to moderate

Lien law is heavily weighted and unforgiving about dates.

Shares from the DBPR Business and Financial Management content outline. The outline lists it under draw requests and contract management in area B, under receivables and payables in area D, and as Chapter 713 in area F. Those three areas make up 73 percent of the paper between them, so a lien question can surface almost anywhere. It is dense, it runs on deadlines, and getting it wrong in practice destroys contractors. The clearest way in is to work one deadline all the way through, which is what our walkthrough of the Notice to Owner and its 45 day clock does with the statute open.

The questions are usually about sequence and timing. Who has to serve what, on whom, within how many days, in order to preserve which right. Two numbers to own cold: section 713.06 requires the notice to owner no later than 45 days after you start furnishing, and section 713.08 requires the claim of lien to be recorded no later than 90 days after final furnishing. None of it is conceptually difficult; all of it is unforgiving of vagueness, because the answer is a specific number of days and you either know it or you do not.

Learn the sequence as a timeline rather than as a list of separate facts

Pay attention to who each notice protects and who it is served on, which is where the distractors live

Know the difference between the deadlines that are advisory and the ones that end your rights

Practise these questions more than any other category, because they reward drilling

How much accounting is on the Business and Finance exam?

A large share of candidates have run a business for years without ever reading their own balance sheet closely, because an accountant did that. The exam does not care.

You need to be able to look at a balance sheet and an income statement and answer questions about them. What is an asset, what is a liability, what does working capital mean, what happens to each statement when a transaction occurs. It is genuinely learnable in a few weeks from a standing start, but it is not something you can bluff.

At 32 percent, accounting is about 38 of your 120 questions, and the outline lets that swing from roughly 35 to 42. Miss half of them and you have spent 19 of the 36 wrong answers you can afford before you have touched lien law. The good news is that this area is predictable: receivables, payables, cash flow, ratios, job costing and payroll come round every time, so drilling them pays off more reliably than almost anything else on the paper. If arithmetic is the worry, our worked guide to the math on the Business and Finance exam takes the formulas one at a time.

Accounting is the largest area on the paper, and the one most builders have handed to someone else.

What does the exam ask about payroll and worker classification?

Less glamorous than lien law and worth knowing properly, because the exam tests it and getting it wrong in practice is expensive.

The central question is whether someone working for you is an employee or an independent contractor. It is not a matter of preference or of what the paperwork says. The IRS test looks at the whole relationship, grouped as behavioural control, financial control and the type of relationship: who controls how the work is done, who supplies the tools, whether the relationship is ongoing.

Contractors misclassify constantly, usually to avoid workers compensation costs, and the consequences when it is caught include back taxes, penalties and licensing trouble. The exam asks about it because the state sees the outcome of getting it wrong often enough to care.

Why does markup versus margin matter so much?

Estimating is the topic builders find easy, and there is one concept inside it worth slowing down for because it explains a lot of failed construction businesses.

Markup and margin are not the same thing, and confusing them means systematically underpricing every job you win. Worked through: a job costs $80,000 and you add a 25 percent markup, so the price is $100,000. The $20,000 you kept is 20 percent of the price, not 25. To actually keep 25 percent of the price you divide cost by 0.75, which gives $106,667 and a markup of 33.3 percent. The gap grows with the number, the exam tests it because the error is so widespread, and the calculator below does the conversion both ways.

If you take one practical thing from this exam into your business rather than just onto your license, make it the difference between markup and margin, and the habit of allocating overhead to every job rather than hoping it comes out of the profit at the end.

Markup and margin converter

Enter a job cost and either the markup you add or the margin you want to keep. The list we could read, valid for 2025, named three books: Chapter 455 of the Florida Statutes, the Builder’s Guide to Accounting and the Contractors Manual, plus AIA documents A201, A401 and A701. The 2026 list switched to a newer Contractors Manual edition from 1 February 2026, a mid year change our edition trap guide works through. The live list sat behind a bot check we could not pass on 2 October 2026, so confirm every edition against it before you buy anything. Having the right books is half of it, and why an open book exam still runs candidates out of time covers the other half, minute by minute.

The rules on the books themselves are strict. They must be bound, one copy each. Highlighting and underlining are allowed; handwritten or typed notes are not, and old notes must be blacked out. Permanent tabs are fine and movable sticky flags are not. A calculator is allowed if it is silent, hand held, battery powered, non printing and has no alphabetic keypad, and the booklet advises against solar ones. Equal time at minimum.

Start with accounting, because at 32 percent it is the largest area and the biggest gap for most builders.

Then lien law, because it runs through three content areas and rewards drilling more than anything else.

Leave estimating until last. You already know it, and studying what you know is comfortable rather than useful.

Practise open book and timed from early on, so navigation is automatic.

Track wrong answers by area, and stop studying the areas where you are already strong.

Our guide to using practice tests properly covers how to get real value out of them, which matters more on this paper than on the trade one because so much of it is unfamiliar.

What happens if you fail the Business and Finance exam?

You retake that paper rather than starting again, and your passed papers stand. Scores are not rounded, so 69.9 percent is a fail. Our page on what happens if you fail covers the wait and the process.

How many people fail it is harder to pin down than the prep ads suggest. DBPR does not publish a pass rate for this paper that we could find. One Contractor Talk member who tallied results for January 2021 to June 2022 reported about 12,000 attempts, with roughly 53 percent passing first time and only about a third passing on a second attempt. We could not trace those figures to an official DBPR publication, so treat them as one person’s reading rather than a statistic. One more official point worth knowing: the booklet says a candidate who later tests for an additional category may be exempt from sitting this paper again.

The recovery is usually straightforward, because a failure here almost always points at one or two specific areas rather than a general lack of readiness. Get the breakdown, work the weak area, sit it again.

Frequently asked questions

Does every contractor candidate have to take this exam?

Yes.
